Notice of Bylaws Revision Consideration

Notice of Meeting to Consider Amendments to the Club Bylaws

A motion to consider a set of amendments to the bylaws of the club was approved by a majority of members present at the regular August monthly membership meeting on August 4, 2026. The amendments will be presented to the membership for consideration at the September regular monthly meeting, on September 1, 2026, in the Mill Creek Rifle Club Clubhouse.

The recommended changes, developed by a bylaws committee of the board of directors, then reviewed and approved by a majority vote of the full board of directors in July 2026, and then presented for ratification by a majority vote of members present at the annual member meeting in August, includes the following changes:

  • Formal recognition of the Mill Creek Rifle Club Shooting Sports and Educational Charitable Foundation as an affiliated 501(c)(3) private foundation, along with its purpose, would be added to the bylaws.
  • The requirement to hold a special election for vacant board and officer positions would be changed from more than one vacancy to more than two simultaneous vacancies.
  • Responsibility for coordinating the consideraton of updates to the club's standard operating procedures would be vested in the office of the vice president.
  • Authority to delegate individual responsibilities of all officers and directors to other board members would be formally granted to the board.
  • Spending authorizations for the board as a whole and for some director positions would be variously increased.
  • Authority to change annual dues in any given by more than $25 would require membership approval at a regular meeting following advance notice.
  • Specific due dates for payment of annual dues would be removed from the bylaws, to be set as required by the board of directors. 
  • Late fees for failure to renew on time would be capped at no more than 100 percent of annual dues.
  • The start of the organization's dues year would be changed from May 1 to January 1.
  • Responsibility of the club nominating committee would be clarified.
  • Authority of the board of directors to discipline members for range rule violations would be clarified.

According to the bylaws, any revisions to the bylaws must be ratified by at least two-thirds of the members present at a meeting held at least 10 days following notification. The bylaws also requires the board of directors to establish a committee to review the bylaws and recommend any amendments to the board at least every three years. These current recommended amendments are a result of that process.
